If you are entering into this agreement on behalf of a legal entity, you represent that you have the authority to bind such entity, in which case the terms "you" or "your" shall refer to such entity.
2. Intellectual Property
Using the Software does not give you ownership or license of any intellectual property rights in the Software.
3. Liability and Indemnity
To the maximum extent permitted under law, you agree that ExcelMarketFeed are not liable for any loss or damage of any kind resulting from the use, inability to use, performance or non-performance of the Software or any data accessed on or through the Software. You further agree that ExcelMarketFeed are not responsible or liable for lost profits, revenues, or data, financial losses or indirect, special, consequential, exemplary, or punitive damages.
ExcelMarketFeed do not accept liability for unavailability of the Software. For technical and operational reasons, access to the Software may temporarily be restricted or interrupted. These restrictions or interruptions may be due to modifications or improvements of the Software, repair, maintenance or other work required for the proper and optimized operation of the Software or for reasons beyond our control.
4. Modifications to the Software
You acknowledge and agree that the Software may be modified, suspended or withdrawn by ExcelMarketFeed at its sole discretion. The Software is dependent on Third-party data sources, the availability of which is outside the control of ExcelMarketFeed.
5. General Terms
The Terms are subject to the laws of the U.S. and both parties hereby irrevocably submit to the exclusive jurisdiction of the U.S. Courts.
